Gigante Havbruk AGM decision to be challenged in court
Two shareholders demand that a resolution on the pledging of shares be declared invalid
Arve Moen Storholm and Linda Storholm have sued Gigante Havbruk AS after a disagreement over a resolution from the general meeting in May, Bodø Nu reports.
The general meeting resolved by an 80% majority that shares in the company cannot be pledged as collateral without prior approval from the board.
"Our view is that the Companies Act does not allow for such a limitation in the articles of association without the approval of all shareholders. The resolution is therefore required to be declared invalid," the shareholders' lawyer Einar Heiberg told Bodø Nu.
Gigante Salmon
Arve Moen Storholm and Linda Storholm each own 9.9% of the B shares and 0.1% of the A shares in the company.
The parties will meet today, September 3, to clarify the further processing of the case. The date for the main hearing has not yet been set.
Gigante Havbruk is the main owner of Gigante Salmon, which operates a land-based flow-through salmon farm on Lille Indre Rosøy in the municipality of Rødøy, Norway.
Chief executive Kjell Lorentsen declined to comment on the litigation to Bodø Nu.
